CHEAPFLEET END-USER LICENSE AGREEMENT Version 1.0 — Effective August 30, 2026 Licensor: Justin Monroe, South Carolina, United States Support: cfsupport@cheapfleet.io Copyright © 2026 Justin Monroe. All rights reserved. 1. ACCEPTANCE This agreement applies to the CheapFleet software and included documentation (the “Software”). By installing, copying, or using the Software, you agree to this agreement. If you do not agree, do not install or use the Software and use the purchase channel's refund process where available. If you accept for an organization, you represent that you may bind it. “You” means that organization; otherwise, “you” means the individual accepting this agreement. 2. LICENSE GRANT Subject to this agreement and payment of the applicable purchase price, Licensor grants you a perpetual, non-exclusive, non-transferable license to install and use the purchased major version of the Software on up to two computers that you own or control. You may use it for personal, hobby, educational, or commercial purposes to manage your own accounts and workloads. You may make reasonable backup copies. 3. INCLUDED SOURCE CODE You may inspect and internally modify the included source code for your own use, backup, security review, repair, and interoperability. You may not distribute or publish the source or modified builds. Modified builds are unsupported, and you assume the risks created by modifications. 4. RESTRICTIONS You may not redistribute, publish, sell, sublicense, rent, lease, transfer, or share the Software or source outside the licensed individual or organization. You may not provide CheapFleet itself as a hosted service, remove ownership notices, circumvent technical restrictions, or use its source to create or market a competing fleet-control product. You may use CheapFleet to provide your own lawful work product or services, provided your customers do not receive or operate copies of CheapFleet. 5. OWNERSHIP CheapFleet is licensed, not sold. Licensor retains all right, title, and interest in the Software and its copyrightable expression. You retain ownership of your workloads, configuration, and data. No trademark rights or ownership of CheapFleet transfers to you. 6. MARKETPLACES AND THIRD PARTIES An authorized marketplace may act as seller or merchant of record and may impose separate checkout, payment, tax, delivery, refund, and chargeback terms. Those terms govern its transaction services; this agreement governs your license to the Software. Mandatory marketplace terms and non-waivable law control if they conflict with this agreement. Vast.ai, Python, operating systems, container registries, pools, images, APIs, and other third-party products are not part of CheapFleet. You are responsible for their accounts, charges, terms, licenses, availability, security, and data use. 7. UPDATES AND SUPPORT Your license covers the major version purchased. Licensor may offer same-major maintenance updates but has no obligation to provide any update, feature, security fix, compatibility change, or future major version. CheapFleet is a self-service download. Documentation is the primary support channel. Email support is best-effort only, with no guaranteed response, resolution, or availability time. Separate published support terms apply. 8. YOUR RESPONSIBILITIES You are responsible for protecting credentials, reviewing prices and launch plans, maintaining backups, monitoring live rentals and third-party billing, keeping the controller available during supervised rentals, using the emergency stop, and complying with applicable law and third-party terms. You must verify resource and billing state directly with Vast.ai whenever CheapFleet reports an error, ambiguity, or unavailable state. 9. NO WARRANTY TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “WITH ALL FAULTS.” LICENSOR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LICENSOR DOES NOT WARRANT PROFITABILITY, REVENUE, SAVINGS, HOST OR WORKLOAD COMPATIBILITY, UNINTERRUPTED OPERATION, COMPLETE SECURITY, TIMELY TEARDOWN, THIRD- PARTY AVAILABILITY, OR FUTURE API COMPATIBILITY. SAFETY CONTROLS REDUCE RISK BUT DO NOT ELIMINATE RENTAL CHARGES OR OPERATIONAL LOSS, INCLUDING WHILE YOUR COMPUTER, NETWORK, VAST ACCOUNT, OR A THIRD-PARTY SERVICE IS UNAVAILABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. NOTHING IN THIS AGREEMENT EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED. 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, COMPUTE TIME, OPPORTUNITY, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE. LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE CHEAPFLEET LICENSE. THESE LIMITS DO NOT APPLY WHERE, AND ONLY TO THE EXTENT, APPLICABLE LAW PROHIBITS THEM. 11. TERMINATION This agreement terminates automatically if you materially breach it. Upon termination, you must stop using and delete your usable copies of the Software. Sections concerning restrictions, ownership, disclaimers, liability, disputes, and other provisions that by their nature should survive will survive. 12. LAW AND DISPUTES South Carolina law governs this agreement, without regard to conflict-of-law rules. Subject to non-waivable consumer rights, the parties consent to the state and federal courts located in South Carolina. Before filing a claim, each party will provide written notice and a reasonable opportunity to resolve the dispute informally. This agreement does not require arbitration or waive a right to a jury trial where that right applies. 13. GENERAL If a provision is unenforceable, it will be limited to the minimum extent needed and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without Licensor's written consent. Licensor may assign it with the Software or related business. This agreement, together with the published support/refund terms and mandatory marketplace terms, is the complete agreement about the Software and supersedes prior product-license statements. A change does not apply retroactively to a purchased license unless you affirmatively accept it, except where required by law. END OF AGREEMENT
